I’m Briana Miranda Creative Studio, doing business in Oregon and serving clients online. When I say “you,” I mean visitors, clients, potential clients — anyone interacting with my website or services.

These terms apply when you use my site or hire me for creative work. Let’s keep things transparent.

1. Scope & Acceptance

By visiting my site or hiring me, you agree to these Terms & Conditions. If you don’t agree, that’s cool — but please don’t use the site or my services.

These terms apply to all services, deliverables, and interactions between us (unless we agree in writing otherwise).

2. Services & Deliverables

When you hire me, I’ll send you a proposal or contract listing exactly what I’m delivering (logo, brand guidelines, social graphics, etc.), timeline, and price. That document (proposal/contract) is the main guideline for what you get.

If you want something extra not in the proposal, that’s okay — we’ll talk about cost, timeline, and then amend the agreement.

3. Payment Terms

  • Deposit: 50% is due before work starts

  • Balance: Due upon delivery of final files

  • Late Fees: If payment is late beyond agreed terms, a fee or interest may apply (stated in the contract)

  • Methods: I accept online payments, checks, or cash.

4. Revisions & Approval

You’ll have a chance to review and request changes at agreed stages (design drafts, etc.). I include 1 round of revision for each stage in your package. Major scope changes may incur additional costs.

Once you approve final files, that’s your green light. Past that, extra changes or additions may cost more.

5. Ownership & Rights

  • Once full payment is made, I’ll transfer to you the agreed usage rights (for logo, designs, etc.) as described in your contract

  • I may retain the right to use your work in my portfolio, website, marketing, etc. (unless you explicitly request otherwise)

  • I reserve moral rights (credit / attribution) and can’t remove that unless we both agree

6. Confidentiality

I’ll treat your brand materials, ideas, and info as confidential (unless it’s already public). If either of us discloses confidential stuff, we’ll agree to handle that respectfully.

7. Cancellation & Termination

If either of us needs to stop the project early:

  • You’ll owe me for work done up to the point of cancellation

  • I’ll deliver what’s complete or in-progress (if you pay for it)

  • If I cancel, I’ll refund unused funds (minus work done)

8. Warranties & Liability

  • I aim for high-quality deliverables, but I don’t guarantee results (e.g. “you’ll double your sales because of my design”)

  • I’m not liable for things outside my control (platform errors, user mistakes, etc.)

  • My total liability is capped at the amount you paid me for the specific project

9. Indemnification

You agree to defend, indemnify, and hold me harmless from any claims, damages, or costs arising from your use of the designs, your materials you supply, or your violation of any terms here.

10. Governing Law & Dispute Resolution

This agreement is governed by Oregon law. If there’s a dispute, we’ll try to resolve it friendly first (talk it out, mediation). If that doesn’t work, courts of Oregon will have jurisdiction.

11. Changes to Terms

If I update these terms, I’ll post a new version and date. If you use my services after that, those new terms apply.
